下没vest的RSU都作废了。我家LD手下有一个director是被fire走人的,9个月,想vest一部分RSU,公司绝对不同意。
vest以后的股票是在个人账户里了选择什么时候卖看个人情况,自己选择了。
超过一年 这样就是long term capital gain
但是这么做也是有风险的 2000年这么做的人 最后没赚钱反而欠税的人不少
最有利,糊涂兄劝他不要持有股票。我认为他应该考虑税务因素。
vest以后进入你个人账户的是股票,不再是RSU了,跟你在其他公司卖买的股票一样操作,只是你是公司员工的时候,操作有restriction而已。

是圆工的时候买卖有时间上的restriction,离开公司以后跟你买卖任何一个二级市场的股票没有任何区别。可以天天炒来炒去。
每年2月vest 是迭加,前一年,前两年和前3年的RSU; 每年的1/3 都几乎同时vest, 可是一交税,拿到手大概2/3的股数,1/3的股数交税了。理论上是卒年卖掉一些;分担风险,因为工资就是靠公司的。但是每次要卖;增值(比vest时股价高的钱)又要按收入交税;本来工资税就很高了,不愿意税率更高;所以一直留着;想等着提前退休后没有W2 时再卖,可是我的financial advisor 一直催我卖,分散风险。理论上是对的,但是我也没听。股票每年还有3%的股息,风险不是很大,只在过去两年少量卖了一点去抵消亏钱的自己玩票卖的股票。
