Zhang Smith Holding Company has 12 shares, Zhang has 6 shares in exchange of $1 million cash paid to John Smith on May 2022, and John Smith has 6 shares in exchange of the Property located at 123 Main St. in the value of 2 million dollars.
It is agreed that on the first day of 2023, 2024 and 2025, Zhang shall pay John Smith $333,000 for 2 shares of stock belong to Smith.

你现在双方都同意做共同拥有,那么公司章程完全是双方自己拟定,灵活度大很多也复杂很多。A不付钱了,B有什么权利有什么选择,需要一个字一个字地写出来,最后也不是foreclose,而是要去法庭讨股份,不说了总之是自己发明轮子自己要学会修轮子,请不了别的轮子工人。
最后闹起纠纷了,就怪律师没写好,真是冤枉啊。给一个糊涂客户做服务真是不如不做。
本来税率就高,再一下加个大大的capital gain,唉

找个有做owner financing 的title company or attorney 就行了……
早说过用installment sale最好,偏要挑最复杂的方法。
